By using FilesDesk, you agree to these Terms and Conditions. Please read them carefully. If you do not agree with these terms, you must not use FilesDesk.

1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and AppMaker ("we", "us", "our", or "Company") regarding your use of the FilesDesk desktop application ("Application", "Software", or "Service").

By downloading, installing, or using FilesDesk, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy and Refund Policy.

2. Eligibility

You must meet the following requirements to use FilesDesk:

  • You must be at least 13 years of age
  • If you are between 13 and 18, you must have parental or guardian consent
  • You must have the legal capacity to enter into a binding contract
  • You must not be prohibited from using the Service under applicable laws

3. License Grant

3.1 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use FilesDesk on your personal computer for your personal or internal business purposes.

3.2 License Restrictions

You agree NOT to:

  • Copy, modify, or create derivative works of the Software
  • Reverse engineer, decompile, or disassemble the Software
  • Remove, alter, or obscure any proprietary notices on the Software
  • Rent, lease, lend, sell, redistribute, or sublicense the Software
  • Use the Software for any illegal or unauthorized purpose
  • Circumvent any technical limitations or access controls in the Software
  • Use the Software to transmit malware or malicious code
  • Interfere with or disrupt the integrity or performance of the Software

4. User Accounts and Subscriptions

4.1 Account Creation

You may need to create an account to access certain features of FilesDesk. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security and confidentiality of your account credentials
  • Immediately notify us of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

4.2 Subscription Plans

FilesDesk offers various subscription plans with different features and credit allocations. Subscription fees are charged in advance on a monthly or annual basis and are non-refundable except as provided in our Refund Policy (2-day money-back guarantee).

4.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. We will charge your payment method on file for the renewal.

4.4 Credit System

FilesDesk operates on a credit-based system. Each file operation consumes credits. Credits:

  • Are allocated based on your subscription plan
  • Do not roll over to the next billing period (unless specified in your plan)
  • Cannot be transferred or exchanged for cash
  • Expire if your account is inactive for more than a month

5. Acceptable Use Policy

5.1 Permitted Use

You may use FilesDesk to:

  • Organize and rename your personal or business files
  • Apply AI-powered naming suggestions to your files
  • Create and use custom naming templates
  • Batch process files for efficiency

5.2 Prohibited Use

You must NOT use FilesDesk to:

  • Process files containing illegal, harmful, or offensive content
  • Violate any intellectual property rights of third parties
  • Distribute malware, viruses, or harmful code
  • Process files that violate privacy laws or regulations
  • Automate access to the Service through bots or scripts
  • Share your account credentials with unauthorized users
  • Use the Service for competitive analysis or to build a competing product

6. Intellectual Property Rights

6.1 Our Property

FilesDesk, including all software, algorithms, user interfaces, designs, logos, and content, is owned by AppMaker and protected by copyright, trademark, patent, and other intellectual property laws.

6.2 Your Content

You retain all rights to your files and data. We do not claim ownership of any files you process using FilesDesk. However, by using the Service, you grant us a limited license to process your file metadata (filenames, extensions, etc.) solely to provide the renaming service.

6.3 Feedback

If you provide feedback, suggestions, or ideas about FilesDesk, you grant us an unlimited, perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback into our products and services.

7. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key Privacy Commitments:

  • Your files are processed locally on your device
  • We do not upload, store, or transmit your file contents to our servers
  • We collect minimal personal information necessary to provide the Service
  • We do not sell your data to third parties

8. Payment and Billing

8.1 Payment Methods

We accept payment via credit/debit cards and other payment methods specified at checkout. By providing a payment method, you authorize us to charge all fees incurred through your account.

8.2 Price Changes

We reserve the right to modify subscription prices with 30 days' notice. Price changes will take effect at the start of your next billing cycle. If you do not agree to the price change, you may cancel your subscription.

8.3 Taxes

All fees are exclusive of applicable taxes, duties, or levies. You are responsible for payment of all such taxes.

9. Cancellation and Termination

9.1 Your Right to Cancel

You may cancel your subscription at any time from your account settings. Upon cancellation:

  • You will retain access until the end of your current billing period
  • Your subscription will not auto-renew
  • Unused credits will be forfeited at the end of the period

9.2 Our Right to Terminate

We reserve the right to suspend or terminate your account immediately if:

  • You violate these Terms or our policies
  • Your payment method fails or your account is past due
  • You engage in fraudulent or illegal activities
  • Your use of the Service poses a security risk

9.3 Effect of Termination

Upon termination:

  • Your license to use FilesDesk will immediately cease
  • You must uninstall the Software from your devices
  • We may delete your account data after 90 days
  • All unpaid fees become immediately due

10. Disclaimers and Warranties

IMPORTANT DISCLAIMER: FilesDesk is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.

To the maximum extent permitted by law, we disclaim all warranties, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy or reliability of AI-generated suggestions
  • Warranties that all defects will be corrected

You acknowledge that:

  • FilesDesk modifies your files and filenames. You should back up your files before use.
  • AI-generated suggestions may not always be accurate or appropriate
  • You are solely responsible for reviewing and approving any file modifications
  • We are not liable for any data loss resulting from your use of the Service

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPMAKER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100 USD, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless AppMaker and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

  • Your use or misuse of FilesDesk
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of applicable laws or regulations

13. Updates and Modifications

13.1 Software Updates

We may provide updates, patches, or new versions of FilesDesk from time to time. You agree to install updates promptly. Some updates may be required for continued use of the Service.

13.2 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Application. Your continued use of FilesDesk after changes constitute acceptance of the modified Terms.

14. Dispute Resolution

14.1 Informal Resolution

Before filing a legal claim, you agree to first contact us at support@filesdesk.app to attempt to resolve the dispute informally.

14.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of your jurisdiction, without regard to conflict of law principles.

14.3 Arbitration

Any disputes arising from these Terms or your use of FilesDesk shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property infringement or misappropriation.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and AppMaker regarding FilesDesk.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, or government actions.
